Advising AREVA in connection with its pre-sale reorganization aimed at transferring a part of its assets to FRAMATOME (ex. NEW NP) and in connection with the sale to EDF of a 75.5% stake in FRAMATOME capital, a wholly-owned subsidiary of AREVA NP.

The acquisition of a stake in FRAMATOME by MITSUBISHI HEAVY INDUSTRIES LTD and ASSYSTEM, respectively up to 19.5% and 5% of FRAMATOME’s share capital, occurred simultaneously with the transaction between EDF and AREVA SA.

EDF thus took the exclusive control of FRAMATOME on 31 December 2017, which is the entity combining former Areva Group’s activities relating to the design and manufacturing of nuclear reactors and equipment, fuel assemblies and services to the nuclear installed base.

The sale price for 100% of the capital of FRAMATOME has been adjusted to €2.47 billion, with no transfer of financial debt.

The signing follows the positive opinion issued by the ASN indicating that the Flamanville 3 reactor vessel is fit for service. It also follows the conduct and satisfactory conclusions of the comprehensive due diligence quality review of manufacturing records relating to components manufactured at the Creusot, Saint- Marcel and Jeumont plants, regarding contracts transferred to FRAMATOME.
