We are experienced in all types of transactions relating to the transfer, management, development or restructuring of real estate assets or holdings, including the most complex and innovative transactions. Our practice also covers market real estate litigation.

We are also involved in the financing of real estate transactions, acting as advisors to both lenders and borrowers.

Our significant expertise covers all aspects of urban planning and development law addressing both regulatory and contractual issues.

Real Estate transactions and real estate investments

We advise our clients on their real estate transactions (acquisitions / disposals / partnerships) involving all types of assets (offices, retail, logistics, hotels, etc.) and real estate companies.

Our expertise is particularly recognized in sale and lease back transactions, as well as complex transactions with a corporate dimension, including real estate-related M&A transactions and the setting-up of joint-ventures and partnerships.

Urban Planning & Development

We assist French and international clients, including private operators (real estate companies, property developers) and public authorities on urban planning law and public real estate law in both advisory and litigation matters.

Our expertise is particularly recognized in the structuring of complex real estate transactions (creation of mixed-use districts, tertiary buildings, retail complexes, coliving residences) and deal with issues relating to regulatory and operational town planning, commercial development, approval for business premises, changes of intended use or public-access buildings as well public domain issues and land control (expropriation, preemption).

Real Estate finance

The Firm’s real estate finance practice relies on one of the largest teams in the Paris marketplace.

We advise French and international lenders and investors on their acquisition and/or development financing, as well as real estate refinancing transactions both in France and abroad.

We also assist alternative lenders with complex transactions. We also routinely advise on the structuring and setting-up of junior financing (mezzanine, PIK or Pref Equity) or corporate bank or DCM financing (Euro PP) on behalf of real estate market players.

Our practice also involves advising on special situations, distressed lending and debt restructuring, in close cooperation with our Restructuring team.

Property development - Construction

We assist our clients with their real estate development, construction, promotion, restructuring and asset rehabilitation projects, both in the design and structuring of these projects and in their contractual aspects.

In this context, our practice also covers the town planning and public law aspects.

Real estate tax

The expertise of our tax specialists team is widely recognized by market players in the real estate industry.

We handle all tax issues relating to real estate matters or real estate transactions, from the structuring stage of the transactions to auditing and implementation.

Leases and property management

We draw up and negotiate all types of rental agreements, in particular commercial leases and leases “in future state of completion”, acting on behalf of both landlords and tenants.

We are experienced in advising our clients on all their needs and issues relating to the management of their real estate assets, with a particular focus on the drafting and negotiation of all management and rental marketing contracts and mandates. We also assist our clients in implementing their environmental and CSR objectives.

Real Estate pre-litigation and litigation

We have a proven track record in advising our clients on all types of rental and real estate-related disputes, from managing pre-litigation situations to initiating and monitoring litigation procedures, as well as seeking out-of-court settlements where appropriate.
