On March 18, 2014, Société Générale filed a proposed simplified tender offer (Offre Publique d’Achat Simplifiée – OPAS) with the AMF in concert with Hodefi and CaixaBank SA (Caixa group) on the share capital of Boursorama.

Société Générale currently holds 55.55% of the share capital of Boursorama. Hodefi and CaixaBank SA hold 20.68%.

Pursuant to this OPAS, Société Générale irrevocably offers the shareholders of Boursorama to purchase all their shares at a price of 12 euros per share. This shall be followed by a squeeze-out (procédure obligatoire) by Société Générale should the minority shareholders (not including Caixa Group) hold, upon closure of the offer, less than 5% of the share capital and voting rights of Boursorama.
