Advising ITS Participations on a public-to-private transaction on ITS Group

Advising ITS Participations on a public-to-private transaction on ITS Group (Euronext Paris), a digital and services business company specializing in the acceleration of digital transformation. The transaction has first consisted in the contribution by the main shareholders of their respective equity stakes in ITS Group’s capital to ITS Participations. ITS Participations now holds 51.5% of the share capital of ITS Group and has filed a simplified public tender offer with the AMF, which will be followed by a squeeze-out if the legal requirements are met, at a price per share of 6.62 euros.
