De Pardieu has advised Unibios Holdings, a company listed on the Stock Exchange of Athens specializing in water treatment through its subsidiary Watera International, on its merger with Osmosun, a leading player in the “low-carbon” water market listed on Euronext Growth in Paris.
The contemplated merger would take the form of a majority stake acquisition by Unibios in Osmosun’s share capital through a cash contribution and a contribution in kind of Watera International’s shares. As Osmosun only has limited cash flow at its disposal, this agreement will enable it to pursue its business activities.
The completion of the transaction remains subject to the approval of Osmosun’s shareholders and to Unibios obtaining a waiver by the AMF of the mandatory filing of a tender offer for Osmosun’s shares.
